Contract Terms You Should Know
The points below summarize the standard agreement. Full clauses are provided before any work begins and are subject to legal review.
Term & Cancellation
Initial term of 3 months, then month-to-month. Either party may cancel with 30 days' written notice. Cancellation takes effect at the end of the current paid period.
Payment & Autopay
Fees are prepaid monthly in USD. You may authorize recurring ACH or bank transfer (autopay). Maintenance is a service and is not subject to US state sales tax.
Autopay vs. Service
Revoking or cancelling autopay does not terminate the agreement or relieve payment obligation. To stop future charges, cancel the service per the agreement.
Late Payment & Suspension
Overdue amounts accrue a late fee of 1.5% per month. If a payment is overdue by more than 3 days, we may suspend services until all arrears and late fees are paid.
Refunds
Fees for a started period are non-refundable; no prorated refund. If we are solely at fault and unable to deliver, a non-cash service credit may be issued. Annual plans: refund of unused portion within the first 30 days.
Handover on Termination
After termination and full payment, we provide a final backup and reasonable handover of your files, credentials and configurations.

Security incidents are handled up to a 2.0 h standard credit; larger recovery work is quoted before we proceed. Credits are tracked in 15-minute increments. As a courtesy, minor changes that take only a few minutes (roughly 10–15 minutes, up to twice a month) are absorbed at no charge — you are not billed a full credit for a one-line fix. Work beyond your included hours is billed at $99/hour or handled by moving up a plan. Each month you receive a simple usage ledger — tasks, credits used, and your remaining balance — alongside your maintenance report.
